Terms of Service

These terms govern your access to and use of Novex. Please read them carefully — using the platform means you agree to them.

Please note: this document is a plain-language template provided for a demonstration product. It is written to read like a real agreement, but it is not legal advice. Before going live, have your own counsel review and adapt it to your jurisdiction and business.

01Acceptance of these terms

By creating an account, accessing the dashboard, or sending a single API request to Novex (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity.

If you do not agree with any part of these Terms, you must not use the Service.

02Eligibility

You must be at least 18 years old and capable of forming a binding contract to use Novex. You must not be barred from using financial services under the laws of your jurisdiction, and you must not appear on any applicable sanctions or denied-parties list. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and card network rules.

03The Service

Novex is a payment-facilitation platform that provides branded checkout, business onboarding and verification (KYB), payout visibility, and developer tooling such as a REST API and webhooks, built on top of Stripe’s payment rails. We may add, change, or remove features over time. We will make reasonable efforts to communicate material changes in advance.

The Service is provided on an ongoing basis and is not sold to you. These Terms grant you a limited, non-exclusive, non-transferable right to access and use it.

04Accounts & KYB

To accept payments, you must create an account and complete our Know Your Business (KYB) verification, providing accurate, current and complete information about your business, its beneficial owners, and its representatives. You are responsible for keeping this information up to date.

You are responsible for safeguarding your account credentials and API keys, and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use. We may suspend onboarding or limit functionality if verification cannot be completed.

05Acceptable use

You agree not to use Novex to process payments for prohibited or high-risk activities, including unlawful goods or services, fraud, money laundering, or any business category restricted by Stripe or the card networks. You may not attempt to probe, scan, or breach the security of the Service, interfere with its operation, reverse-engineer it, or use it to build a directly competing product.

We may investigate suspected violations and, where appropriate, suspend or terminate access. A current list of restricted categories is available on request.

06Fees & payouts

Our pricing is published transparently. You authorize us to deduct applicable platform fees and pass-through processor costs from the funds we settle to you, and you agree to the rates in effect for your account. Payouts are initiated through Stripe and arrive according to the schedule and reserve policy applicable to your account.

Where we display an expected payout arrival date, we surface Stripe’s reported arrival_date. Actual timing depends on banking networks and is not guaranteed by Novex.

07Stripe as processor

Payment processing and the movement of funds are performed by Stripe and are subject to the Stripe Connected Account Agreement and Stripe’s applicable terms, which you accept as a condition of using the Service. Novex does not take custody of card numbers; sensitive card data is tokenized in the cardholder’s browser and exchanged directly with the processor.

08Intellectual property

The Service, including its software, design, documentation, and the Novex name and marks, is owned by us and our licensors and is protected by intellectual property laws. We grant you no rights except the limited license described in these Terms. You retain all rights to your own content, brand, and data, and you grant us the limited rights needed to operate the Service on your behalf.

09Data & privacy

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described there. You are responsible for maintaining your own privacy disclosures to your customers.

10Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that any payout estimate will prove exact.

11Limitation of liability

To the maximum extent permitted by law, Novex and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.

Our aggregate liability for any claim arising out of these Terms will not exceed the total fees you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim.

12Indemnification

You agree to indemnify and hold harmless Novex and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any law or the rights of a third party.

13Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law or a payment partner, or if your account presents undue risk. On termination, your right to use the Service ends, but provisions that by their nature should survive — including fees owed, disclaimers, limitations of liability, and indemnities — will survive.

14Governing law

These Terms are governed by the laws of the jurisdiction in which Novex is established, without regard to its conflict-of-laws principles. The courts located in that jurisdiction will have exclusive jurisdiction over any dispute that is not subject to mandatory arbitration or a small-claims exception, and you consent to their venue.

15Changes to these terms

We may update these Terms from time to time. When we make material changes, we will revise the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
